Terms of Service

1. Acceptance

By creating an account or using the Outbound service ("Service") provided by Ustack AI Inc. ("Ustack", "we", "us"), you agree to these Terms of Service. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

Outbound is an AI-native sales outreach platform. You upload contact lists, we generate personalized email drafts using AI models and web research, and you send those drafts through your own connected mailbox or our hosted relay. We may modify or improve the Service at any time. We will give reasonable notice of material changes.

3. Your account

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. Notify us at security@ustack.ai if you suspect unauthorized use.

Your organization may have multiple users. The first user to claim an organization is the "Owner" with billing authority. Owners can promote others to Admin or invite Reps.

4. Acceptable use

You agree NOT to use the Service to:

• Send unsolicited bulk email in violation of CAN-SPAM, CASL, GDPR, or other applicable anti-spam laws. We require a real physical mailing address and an active opt-out mechanism on every campaign.
• Send email to addresses on our platform-wide suppression list (bounces and complaints). We will block such sends automatically.
• Send phishing, malware, fraudulent, harassing, or illegal content.
• Impersonate another person or organization.
• Reverse-engineer, scrape, or attempt to extract data from the Service beyond what our public API allows.
• Resell or sublicense the Service without our written permission.
• Train competing AI models on data generated by or accessed through the Service.

We may suspend or terminate accounts that violate these rules. Suppression list hits may be enforced platform-wide to protect deliverability for all customers.

5. Your data

You retain all rights to the contact lists, drafts, and replies you create or upload through Outbound ("Customer Data"). You grant us a limited license to process Customer Data only as necessary to provide the Service. We do not use Customer Data to train AI models. Our handling of Customer Data is governed by our Privacy Policy, which is incorporated by reference into these Terms.

6. Google API user data

If you connect a Google account to Outbound, we access only the Gmail data necessary to send mail you've asked us to send and to capture replies to that mail. Our use of Google user data adheres to the Google API Services User Data Policy, including the Limited Use requirements. Full disclosure is in section 4 of our Privacy Policy.

7. AI-generated content

Outbound uses third-party AI models (OpenAI, Anthropic, Mistral, and others) to generate email drafts and research insights. AI output may contain inaccuracies. You are responsible for reviewing every draft before sending. We provide guardrails to filter obvious fabrication, but we do not warrant that AI-generated content is accurate or fit for any particular purpose.

You retain ownership of drafts you generate through the Service, subject to the underlying AI provider's terms of use as they apply to model outputs.

8. Pricing and billing

The Service is offered on a tiered subscription basis (Free, Solo, Team, Scale, Enterprise) plus optional seat add-ons. Current pricing is published at outbound.ustack.ai/#pricing. You authorize us to charge your payment method on file for recurring subscription fees and metered overages where applicable.

Monthly plans renew monthly. Annual plans renew annually. You may cancel at any time; cancellation takes effect at the end of the current billing period. We do not provide prorated refunds on monthly plans; annual plans receive a prorated refund minus a 10% administrative fee.

If a payment fails, your subscription enters a 7-day grace period. After 7 days without successful payment, your plan downgrades to Free and feature access is reduced accordingly. Your data is retained for 90 days post-downgrade.

9. Service availability

We target high availability but do not guarantee uninterrupted service. We may need to perform maintenance, patch security issues, or respond to provider outages. Best- effort uptime applies to Free / Solo / Team / Scale plans. Enterprise customers may negotiate specific SLA terms in a separate written agreement.

10. Intellectual property

We own the Service, its source code, and the Outbound brand. Your use of the Service does not transfer any of our intellectual property to you. You own your Customer Data and the drafts you generate (subject to section 7).

11. Termination

You may close your account at any time from /admin/billing. We may suspend or terminate your account for material breach of these Terms, abuse of the Service, or if required by law. We will give reasonable advance notice when possible.

Upon termination, you can export your Customer Data for 30 days. After that we delete your data per our Privacy Policy retention schedule.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, USTACK'S TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA.

14. Indemnification

You agree to indemnify and hold Ustack harmless from claims arising from your use of the Service in violation of these Terms or applicable law, including but not limited to anti-spam claims, third-party intellectual property claims arising from your Customer Data, and violations of recipient privacy laws.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware. The parties waive any right to a jury trial.

16. Changes to these terms

We may update these Terms from time to time. We will notify account holders at least 30 days before material changes take effect by email and in-app banner. Continued use after changes take effect constitutes acceptance.
